Initial situation and challenges
Mid-2021 Mutares considered the takeover of the multinational construction company, specialized in architectural coatings of glass and steel from Permasteelisa S.p.A. in Spain (rebranded to “Permasteelisa España Donges Group S.A.”). digatus, as the exclusive IT advisor for Mutares, conducted the IT due diligence and assisted in negotiations on the Transitional Service Agreement (TSA) in IT/technological topics. When Mutares decided to purchase the company and reached an agreement with Permasteelisa S.p.A., digatus was awarded the contract for consulting and implementation of the IT carve-out. The entire IT had to be carved out of the group as part of the separation. Together with Permasteelisa, a project plan with a total duration of six months was defined for the IT carve-out of the applications as well as for the IT infrastructure. The ERP landscape was migrated casually under the management of Mutares within 12 months. Permasteelisa España is expected to continue to grow after the transaction as part of the Donges Group portfolio as a Mutares investment.Solution
The IT due diligence successfully identified the scope, costs, and risks of the IT carve-out relevant to the design of the TSA. After signing the transaction, digatus began Day1 preparation to ensure fluent business operations after closing. In the short term, among other things, the ~90 e-mail accounts were converted so that the sold business units could already operate on the market as “Permasteelisa España” from Day1 on. The subsequent IT carve-out encompassed the entire IT landscape, including various CAD and production applications as well as the entire IT infrastructure. digatus successfully completed the IT carve-out together with the local partner blackbytes without any operational disruptions and within the TSA runtime. Scope of the project: Making Permasteelisa España’s IT independent and relocation to a new production building:- Migration of the ERP system
- Separation and optimization of the entire IT infrastructure for ~42 IT users (client, network, hardware, software)
- Migration of >2 different CAD systems
- Optimization of existing and negotiation of new contracts with IT service providers
- Realignment of IT organization and IT strategy
